In these Terms: - **"LetStart"**, **"we"**, **"our"**: Refers to LetStart Inc. and its platform. - **"User"**, **"you"**, **"your"**: Refers to any individual or entity using the platform. - **"Platform"**: The LetStart web application, APIs, AI agents, and related services. - **"Umbrella Model"**: The payment processing service where LetStart acts as the legal entity for user transactions. - **"AI Agents"**: Autonomous software agents that perform tasks on your behalf. - **"Project"**: A startup idea and its associated resources (code, branding, deployments) on the platform. - **"Workspace"**: An organizational unit containing projects and team members. - **"L-Wallet"**: LetStart's internal credit balance system.

To use LetStart, you must: - Be at least 16 years old. - Provide accurate registration information through our authentication provider. - Maintain the security of your account credentials. - Notify us immediately of any unauthorized access. You are responsible for all activities under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

LetStart provides: - **AI-Powered Development**: Autonomous agents that write code, run tests, and deploy products. - **Market Validation**: AI analysis of market viability, competition, and strategic recommendations. - **Branding & Design**: AI-generated logos, color palettes, and brand guidelines. - **Legal Documents**: AI-generated privacy policies, terms of service, and compliance documents. These are provided as templates and should be reviewed by a legal professional. - **Deployment**: Automated deployment to LetStart Cloud with domain configuration. - **Umbrella Model**: Payment processing under LetStart's legal entity. Services are provided "as is" and may be modified or discontinued with reasonable notice.

**Your Content**: You retain all rights to your ideas, code, branding, and data. LetStart does not claim ownership of any content you create on the platform. **Generated Code**: Code generated by AI agents is assigned to you. It resides in your secure cloud repository under your control. **Platform IP**: The LetStart platform, AI models (as configured), and proprietary technology remain our intellectual property. **License to Us**: By using LetStart, you grant us a limited license to process your data through our systems and third-party AI providers solely to deliver the requested services.

When using the Umbrella Model: - LetStart acts as the registered merchant for payment processing. - A 10% platform fee is deducted from each incoming payment. - Your earnings accumulate in your LetStart Earnings account. - Minimum withdrawal amount is $200. - You are responsible for reporting income and paying taxes in your jurisdiction. - LetStart provides transaction records and tax documentation (1099 for US users). - You may transition to your own legal entity at any time. - LetStart reserves the right to suspend Umbrella access for prohibited activities. **Prohibited Uses**: You may not use the Umbrella model for: illegal products or services, gambling, adult content, weapons, or any activity that violates our Acceptable Use Policy.

- Subscription fees are billed monthly or annually, in advance. - AI credit purchases are one-time and non-refundable once consumed. - You can cancel your subscription at any time; access continues until the end of the billing period. - We may change pricing with 30 days' notice. Existing subscriptions are honored until renewal. - Failed payments may result in service limitations after a 7-day grace period.

You agree not to: - Use the platform to build products that are illegal, harmful, or violate third-party rights. - Attempt to reverse-engineer, exploit, or abuse the AI agents or platform infrastructure. - Use automated tools to scrape, stress-test, or interfere with the platform. - Share account credentials or allow unauthorized access to your workspace. - Submit content that is intentionally malicious, fraudulent, or misleading. - Circumvent usage limits, billing systems, or security controls. Violations may result in immediate account suspension or termination.

To the maximum extent permitted by law: - LetStart is provided "as is" without warranties of any kind. - We are not liable for any indirect, incidental, or consequential damages. - Our total liability is limited to the amount you've paid us in the 12 months preceding the claim. - AI-generated code, legal documents, and business recommendations are provided as tools — not professional advice. Always consult qualified professionals for legal, financial, and business decisions. - We are not responsible for the success or failure of your startup or business.

Either party may terminate this agreement at any time. Upon termination: - Your subscription ends at the close of the current billing period. - Your code remains in your cloud repository. - Your payment account remains yours. - Project data is retained for 30 days, then deleted. - L-Wallet balance is non-refundable but may be used for remaining services. - We may terminate your account immediately for violation of these Terms.

These Terms are governed by the laws of the State of Delaware, United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by local law.

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
